Terms of Use

The following Terms of Use (“Agreement”) govern the use of this website (“Site”), which is administered by RTI International (“RTI”), operating as TechWerx under its base Partnership Intermediary Agreement (PIA) No. DE-EE0011482 with the Department of Energy (“Department” or “DOE”). By accessing or using the Site, you agree to be bound by and comply with the terms and conditions of this Agreement, which constitutes a valid and binding legal contract between you and RTI. The Agreement represents the entire understanding between you and RTI relating to use of this Site. If you do not agree to all the terms, do not use this Site.
Definitions
“Contributor” means any company, organization, or individual that submits information, data, materials, or other content to the Site.
“Content” means all information, data, materials, text, media, metadata, and other submissions provided to or through the Site.
Foreign Country of Concern (FCOC) includes Russia, Iran, China, North Korea, and Belarus, subject to change by DOE in is sole discretion, has the same meaning as defined in 42 U.S.C. § 19237(2), and includes Countries of Risk, as defined in § 18912(a)(1).
Malign Foreign Talent Recruitment Program (MFTRP) has the meaning as defined in 42 U.S.C. § 19237(4) as further implemented in DOE Order 486.1A, current version.
Contributions; Purpose
You, and other Contributors, may submit Content for the purpose of describing capabilities, services, products, or other attributes to enable matchmaking, discovery, or evaluation by other users and RTI. By submitting Content, you represent and warrant that you have the right to submit it and to grant the licenses and commitments in this Agreement.
Ownership; Intellectual Property
- Contributors retain all right, title, and interest in and to their Content and related intellectual property rights, subject to the licenses granted below.
- RTI and its licensors retain all right, title, and interest in and to the Site, its design, technology, software, trademarks, and any content or materials provided by RTI (collectively “Site IP”).
License to United States and RTI
By submitting Content, you grant the United States and RTI a non-exclusive, worldwide, transferable, sublicensable, royalty-free, perpetual license to use, copy, modify, reproduce, aggregate, analyze, index, distribute, display, publish, and otherwise exploit the Content solely for operating and improving the Site, for providing matchmaking services between Contributors, and for other purposes related to the Genesis Mission.
RTI and the U.S. Department of Energy shall have the right, but not the responsibility, to remove Content that may be in violation of this Agreement, any rules posted here, or any applicable provisions of law. RTI may change any information on this Site or any product or service described on this Site, including functionality or performance thereof, at any time without notice.
License to Other Users
You grant to other valid and verified users of the Site a non-exclusive, worldwide, royalty-free license to view, access, and use your publicly posted Content for evaluation and matchmaking purposes.
Confidentiality
- All Content submitted by a Contributor will be treated by RTI as confidential information and will be used by RTI only as necessary for Genesis Mission administration and matchmaking or as otherwise specifically directed or authorized by DOE.
- You acknowledge that employees of the U.S. Government, or of the Government's designee, have the right to receive and inspect all Content, provided that such information shall be protected against further disclosure by U.S. Government employees under the statutory provisions set forth in 18 U.S.C. § 1905.
- You will treat all Content submitted by other users as confidential information and will not use or disclose it except (i) to employees, contractors or agents with a need to know and bound by confidentiality obligations, (ii) as required by law or regulation, or (iii) with the disclosing party's prior written consent.
- Confidential information does not include information that: (i) is or becomes publicly available without breach; (ii) was rightfully in the recipient's possession prior to disclosure; (iii) is independently developed by the recipient without use of the discloser's Confidential Information; or (iv) is rightfully received from a third party without confidentiality obligations.
- These provisions are consistent with and do not supersede, conflict with, or otherwise alter the obligations, rights, or liabilities created by existing statute or Executive Order relating to (1) classified information, (2) communications to Congress, (3) the reporting to an Inspector General or the Office of Special Counsel of a violation of any law, rule, or regulation, or mismanagement, a gross waste of funds, an abuse of authority, or a substantial and specific danger to public health or safety, or (4) any other whistleblower protection. The definitions, requirements, obligations, rights, sanctions, and liabilities created by controlling Executive orders and statutory provisions are incorporated into this Agreement and are controlling.
Security Notice; Prohibited Conduct
For SITE SECURITY purposes and to ensure that this service remains available to all users, RTI uses software programs to monitor network traffic to identify unauthorized attempts to upload or change information or otherwise cause damage.
You will not: (a) submit Content that is unlawful, infringing, obscene, or harmful; (b) attempt to gain unauthorized access to the Site; (c) harvest or scrape data from the Site; or (d) use the Site to misrepresent identity, capabilities, or affiliations.
You are prohibited from using the Site to advertise, perform, or promote any commercial solicitation of goods and/or services, except for the purposes of matchmaking for Genesis Mission opportunities.
You may not post Content that is obscene, fraudulent, threatening, harassing, defamatory, libelous, invasive of another's privacy, or otherwise unlawful, including Content that contains software viruses, malware, or any other computer code, files, scripts, tools, or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware, or telecommunications equipment.
Unauthorized attempts to upload information or change information on this service are strictly prohibited and may be punishable under the Computer Fraud and Abuse Act of 1986 and the National Information Infrastructure Protection Act.
Warranties and Disclaimers
THE SITE, CONTENT, AND SERVICES ARE PROVIDED "AS IS" AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Contributor represents and warrants that: (a) Contributor has the authority to grant the rights granted hereunder; (b) Content does not infringe third-party rights, violate laws, or contain viruses or malicious code; and (c) Content is accurate to the best of Contributor's knowledge.
Disclaimer of Endorsement
The documents posted on this Site may contain hypertext links or pointers to information created and maintained by other public and private organizations. These links and pointers are provided for visitors' convenience, and the linked websites are not under the control of RTI. We do not guarantee the accuracy, relevance, timeliness, or completeness of any linked information. Further, the inclusion of links or pointers to websites other than an RTI-managed website is not intended to assign importance to those sites and the information contained therein, nor is it intended to endorse, recommend, or favor any views expressed, or commercial products or services offered on these outside sites, or the organizations sponsoring the sites, by trade name, trademark, manufacture, or otherwise.

TO THE MAXIMUM EXTENT PERMITTEDBY APPLICABLE LAW, IN NO EVENT WILL RTI OR THE UNITED STATES BE LIABLE FOR ANY DAMAGE WHATSOEVER (INCLUDING WITHOUT LIMITATION DAMAGES RELATING TO LOST REVENUES OR PROFITS, LOST DATA, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION) RESULTING FROM OR IN ANY WAY RELATED TO THE USE OF THE SITE, CONTENT, OR ANY OTHER MATERIALS POSTED ON OR MADE AVAILABLE AT THIS SITE OR ANY OTHER SITE TO WHICH A LINK IS PROVIDED OR ON WHICH A LINK IS PROVIDED TO THIS SITE, REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH DAMAGES ARE BASED.
Additionally, RTI and the United States do not assume any legal liability for the accuracy, completeness, or usefulness of any information, product, or process disclosed herein and does not represent that use of such information, product, or process would not infringe on privately owned rights.
Termination and Suspension
RTI may suspend or terminate your access for any violation of this Agreement or for other lawful business reasons. Upon termination, licenses granted to RTI survive as provided herein.
Modifications
RTI may modify this Agreement at any time by posting revised terms on the Site with an updated effective date. Continued use of the Site after notice constitutes acceptance. Significant changes may be communicated by email where applicable.
Export Control
You will comply with applicable export and re-export control laws and regulations when submitting or receiving Content.
Foreign Access Controls
By using the system you certify that:
- you have never participated in a Malign Foreign Talent Recruitment Program (MFTRP) of an FCOC;
- you represent a domestic entity, organized or incorporated under the laws of the United States, that it is not owned by, controlled by, or subject to the jurisdiction or direction of a government of a Foreign Country of Concern (FCOC) as defined by DOE, which includes Countries of Risk;
- you and the entity you represent are not barred or suspended from contracting with or receiving funds from the United States;
- you and the entity you represent agree to exercise ongoing due diligence to ensure that its personnel participating in any Genesis Mission matchmaking activity are not participating in a MFTRP of an FCOC, and agrees to comply with all DOE policies and reporting requirements related to MFTRPs;
- you and the entity you represent are not subject to the Entity of Concern prohibition under 42 U.S.C. § 18912(c);
- you and the entity you represent will not provide any Genesis Mission-related access or information to a third party without DOE approval; and
- you and the entity you represent agree to inform RTI immediately if it can no longer meet any of the terms as set forth in this section.
Assignment
You may not assign this Agreement without RTI's prior written consent. RTI may assign these Terms without consent as authorized, directed, or permitted by the Genesis Mission or DOE.
Severability
If any provision is eld invalid, the remaining provisions will remain in effect.
Entire Agreement
This Agreement, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and RTI regarding use of the Site.
Privacy Policy
You, and other Contributors, may post content on the Site. To do so, you may need to provide personal information. For information on how we protect any personal information you provide to us, see our Privacy Policy.
Copyright Notice
Except for materials within the Site with respect to which a third-party copyright is noted, and Content contributed by Contributors for which Contributors grant a license to RTI and other users elsewhere in these Terms and Conditions, this Site and its content are copyright of Research Triangle Institute. All Rights Reserved.
Any redistribution or reproduction of part or all of the contents in any form is prohibited, except you may share links to content either (a) available on the publicly accessible site or (b) with prior written permission of RTI or Content Contributor.
You may not, except with our express written permission, distribute or commercially exploit the any material or Content. Nor may you transmit it or store it in any other website or other form of electronic retrieval system.
If a copyright is indicated on a photo, graphic, or any other material, permission to copy these materials must be obtained from the original source.
